Agreement Acceptance
When you sign up for our services or agree to a proposal, you confirm that you have read and understood these Terms. You also confirm that you have the authority to enter into this agreement on behalf of yourself or your business.
If there is any conflict between these Terms and a signed proposal, the proposal will take priority.
Services Overview
The Automation Expertz provides eCommerce automation and management solutions. Our services may include but are not limited to:
- Setting up and managing online stores on platforms like eBay, Walmart, TikTok Shop, and Shopify
- Product research and sourcing
- Inventory management and order processing
- Marketing and paid advertising campaigns
- Store optimization and performance reporting
- Customer service support
- Content creation and branding
The specific services for each client will be described in the proposal we provide.
Account Access
To deliver our services, you may need to provide us with limited access to your online store or related accounts. This may include granting access to dashboards, analytics, or advertising platforms.
Access should remain active for the entire service period and for up to 30 days after termination so we can complete billing or transition processes.
Confidentiality and Data Use
Both parties agree to keep all sensitive information private and secure. Confidential Information includes but is not limited to:
- Your store data, reports, sales performance, and customer information
- Internal business processes and methodologies
The Automation Expertz agrees to:
- Limit access to your data to authorized staff only
- Store your data securely and use it only to provide services
- Protect your data with the same level of care we use to protect our own information
Client Obligations
As our client, you agree to:
- Provide timely access to your accounts and required documents
- Avoid interfering with cases or tasks we are managing for you
- Keep our strategies and methods confidential
- Provide accurate information needed for us to perform services effectively
Subscription Terms and Refund Policy
All monthly service subscriptions are billed automatically on your enrollment date and renew monthly.
To cancel, you must send us an email at least five days before your next billing date.
All payments are final once services have started. Refunds are not available unless otherwise agreed in writing.
Billing and Payments
Service fees are billed monthly unless stated otherwise in the proposal
Payments can be made by credit card, debit card, or bank transfer using our secure billing system
Late payments beyond 45 days may result in a 1.5 percent monthly interest charge
Services may be paused if payment is not received
Additional tasks outside the agreed services will be quoted and billed separately with your approval
Termination
This agreement may be ended:
- By either party with 60 days written notice before renewal
- Immediately if a serious breach is not resolved within 30 days
- By mutual agreement
- After termination, we may keep access for 30 days for billing and administrative purposes unless you request otherwise.
Disclaimer of Warranties
The Automation Expertz provides services on an “as is” and “as available” basis. We do not guarantee specific sales results, revenue levels, or business growth outcomes.
We disclaim all implied warranties including fitness for a particular purpose.
Limitation of Liability
We are not responsible for indirect or unexpected damages, including loss of sales, profits, rankings, or reputation.
Our total liability will not exceed the amount you paid us in the 90 days before a claim.
Indemnification
You agree to protect and hold harmless The Automation Expertz from any claims, damages, or losses caused by:
- Your breach of this agreement
- Your negligence or misconduct
Arbitration
Any dispute will be settled by binding arbitration in the State of New Jersey under the rules of the American Arbitration Association. The arbitrator’s decision will be final and both parties will share costs equally.
Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflicts of law principles.
Relationship and Marketing Use
Neither party may use the other’s name, logo, or branding in public marketing without written approval. Private references to the business relationship are allowed.
Miscellaneous
This agreement does not transfer any intellectual property rights unless clearly stated
If one part of this agreement is found invalid, the rest will remain enforceable
A proposal with custom terms will override these Terms where there is a conflict
Failure to enforce a right does not mean it is waived
The following sections will survive termination: Confidentiality, Payments, Limitations of Liability, Indemnification, Arbitration, and Governing Law.
